Terms and conditions

1. Definitions

In these terms and conditions, the following definitions apply:

• TriviTurbo: the sole proprietorship TriviTurbo, based in Delft, Chamber of Commerce number 99903741, VAT number NL869180757B01.
• Client: the natural or legal person entering into an agreement with TriviTurbo.
• Services: all services provided by TriviTurbo, including web design, web development, hosting, domain registration, and maintenance.
• Agreement: the agreement between TriviTurbo and the client for the delivery of services.

2. Applicability

These terms apply to all offers, quotes, and agreements between TriviTurbo and the client, unless explicitly agreed otherwise in writing.

Any purchase or other terms of the client do not apply, unless accepted in writing by TriviTurbo.

3. Offers and quotes

All offers and quotes from TriviTurbo are non-binding and valid for 30 days, unless otherwise stated.

The free preview offered by TriviTurbo is fully non-binding. The client is in no way obliged to enter into an agreement after receiving the preview.

4. Formation of the agreement

The agreement is formed at the moment the client confirms the quote in writing or by email, or when the client effectively agrees to performance by making a down payment.

5. Performance and delivery

TriviTurbo will make every effort to meet the agreed delivery date. The stated timeframes are indicative, unless expressly agreed as a hard deadline.

The client is responsible for providing all necessary input on time (text, visuals, access). Delays in delivery by the client automatically shift the delivery date.

6. Prices and payment

All prices are in euros and exclusive of 21% VAT, unless otherwise stated.

For fixed-price engagements, 50% is invoiced at the start and 50% upon delivery. Invoices must be paid within 14 days of the invoice date.

In case of late payment, the client is in default by operation of law and owes statutory (commercial) interest and extrajudicial collection costs.

7. Changes and additional work

Changes to the engagement after acceptance of the quote are carried out in consultation and may lead to additional work. Additional work is recorded in advance in a brief written confirmation.

8. Intellectual property

After full payment of the agreed fee, TriviTurbo transfers the rights to the delivered code and content to the client, except for components where third parties hold rights (such as open-source libraries, fonts, or stock material).

TriviTurbo reserves the right to use the delivered work for its own portfolio and promotion, unless the client objects in writing.

9. Hosting and domain

When hosting through TriviTurbo, the client remains the owner of the domain and content at all times. The client may switch to another party at any time; TriviTurbo will cooperate for a reasonable fee.

10. Liability

TriviTurbo is only liable for direct damages resulting from an attributable failure in performance of the agreement. Liability is limited to a maximum of the amount paid out by the liability insurance in the relevant case, or in absence of that, to the invoice amount of the engagement in question.

TriviTurbo is not liable for indirect damages, consequential damages, lost profits, missed savings, or damages due to business interruption.

11. Force majeure

In the event of force majeure, TriviTurbo's obligations are suspended. Force majeure includes, among other things: outages at hosting providers, internet service failures, illness of the performer, and other circumstances that TriviTurbo cannot reasonably influence.

12. Confidentiality

Both parties undertake to maintain the confidentiality of all confidential information they receive from each other in the context of the agreement.

13. Applicable law and disputes

Dutch law applies to all agreements between TriviTurbo and the client. Disputes are submitted to the competent court in the district of The Hague.
